Background

In 2016, the Health District entered into an agreement (Exhibit A) with Weed, Graafstra & Associates, Inc., for legal services and representation. The contract provides for two two-year extensions. The contract states: “Upon at least thirty (30) days prior to the conclusion of each period of performance, the District shall notify the contractor of its intentions in writing regarding exercising the two-year option period(s).”

 

The original contract expired on Sept. 13, 2018. On August 9, 2018, Administrator Jeff Ketchel notified Weed Graafstra of the Health District’s intent to exercise the two-year option, pending final approval of the Board of Health (Exhibit B). That extension was approved by the Board and is set to expire September 13, 2020.

 

The Health District has the option of extending the agreement for one additional two-year term from September 14, 2020, through September 13, 2022. On August 12, 2020, Administrative Officer Shawn Frederick notified Weed Graafstra via email of the Health District’s intent to exercise the second two-year option, pending final approval of the Board at its September 8 meeting. If the District chooses to exercise its option to renew, there is a built-in 5% adjustment to the current hourly rates. The rates are as follows:

 

Current

Attorneys: $194.25/hr

Litigation: $210.00/hr

Paralegal: $147.00/hr

 

With 5% increase

Attorneys: $203.96/hr

Litigation: $220.50/hr

Paralegal: $154.35/hr

 

 
Board Authority

Consistent with Resolution 19-20 and the revised Division of Responsibilities (10/8/19), the Board of Health retains contract authority for legal services.

 
Recommended Motion

MOVE TO authorize the Administrative Officer to exercise a two-year extension option with Weed, Graafstra & Associates for legal services and representation for the period of Sept. 14, 2020, through Sept. 13, 2022.
